1. Quotation
The prices are net, without obligation and understood ex works plus packaging. Binding at any time and in any case are the prices which are valid on the date of dispatch even then if they deviate from the confirmed prices. Individually prepared quotations are valid 30 days from the date of the offer.

2. Payments
If buyers are not known to us, we will either deliver the goods cash on delivery or against cash in advance by transfer or certified check. If this is not desired, quotation of references or bank account is requested. Sales representatives are not authorised for collection without special written authorisation. Payment by way of bills of exchange cannot be accepted. In the event of payment after maturity, interest on arrears at the rate of the statutory default interest will be claimed but not less than 12 %. SEMBDNER Maschinenbau GmbH shall remain free to prove and assert higher damage caused by delay. The customer shall remain free to prove a lower damage caused by delay. Payment terms: 3 % discount for payments made within 14 days – without any deduction for payments within 30 days after receipt of invoice.

3. Reservation of title
The goods delivered shall remain our property until payment has been made in full and all other receivables from the business connection settled. In the event that the purchaser sells on the goods supplied by us, – then until our claims arising from delivery – of the goods have been settled in full, the purchaser's claims against the third – party buyer including all additional rights – shall be deemed to be ceded. SEMBDNER Maschinenbau GmbH shall be entitled to disclose the cession to the buyer’s customer. At our request the buyer shall be obliged to provide us with all information necessary for the assertion of our rights. The buyer shall immediately inform us by registered letter in the event of an attachment, confiscation or exercising of any claims by third parties affecting the delivery item.

4. Delivery time
The indicated delivery date will be adhered to as much as possible but is non-binding. Our contractual obligation shall be considered to be fulfilled as soon as the consignment has been entrusted to a freight forwarder, the railway or postal service. Any claim for damages based on delayed delivery cannot be asserted to SEMBDNER Maschinenbau GmbH unless the delay in delivery can be attributed to intentional or grossly negligent conduct. SEMBDNER Maschinenbau GmbH is entitled to entirely or partially withdraw from the contract in the event that it is unable to perform the contract based on reasons of Force Majeure or other circumstances beyond its control. Any buyer’s claim for damages does not exist in this case. If a significant deterioration of the buyer's economic conditions comes about, such as insolvency declaration, illiquidity or similar shall entitle us to withhold the performance of the services that we owe until effective payment took place or withdraw from the contract.

5. Complaints
We shall be immediately notified of any delivery-related damage claims and in case of not apparent damage within 8 days latest after receipt of the goods. However, this does not release the customer from his liabilities to pay. In case of faulty deliveries we shall provide replacement against return of the parts. All other claims, e.g. compensation for damages, labour cost, freight costs and the like are excluded unless they are not the result of intentional or grossly negligent conduct caused by SEMBDNER Maschinenbau GmbH.

6. Warranty
SEMBDNER Maschinenbau GmbH assumes warranty towards its customers according to statutory regulations. Contrary to the foregoing condition, SEMBDNER Maschinenbau GmbH assumes a warranty towards customers who use delivered machines for their own trade for one year from the date of delivery.

7. Place of jurisdiction
Jurisdiction of the courts of the city of Munich is agreed for all obligations resulting directly or indirectly from this contractual relationship.

8. Conditions of purchase
Conflicting customer purchasing conditions or general terms of business are not binding for us even if they serve as a basis for the purchase order and we did not explicitly reject the contents.
